Terms of Service

These User Terms are a legally binding contract between you and Milesoft. By accessing or using our online apps, games, and platform (the “Services”), you confirm that you have read, understand, and agree to be bound by these Terms and our Acceptable Use Policy.

You are an Authorized User on an account controlled by a “Customer” (e.g., your employer or the entity that invited you). The Customer has entered into a separate agreement with us (the “Contract”) that permits them to create and configure an account so that you and others can join.

When an Authorized User submits information to the Services (“Customer Data”), you acknowledge that the Customer Data is owned by the Customer. The Customer has many choices and control over that Customer Data, including the ability to provision or deprovision access, manage permissions, and modify or delete data.

As between us and the Customer, it is solely the Customer’s responsibility to:

• Inform you of any relevant Customer policies and practices.
• Obtain any required permissions or consents from you.
• Ensure the transfer and processing of Customer Data is lawful.
• Respond to and resolve any dispute with you relating to Customer Data or the Services.

Milesoft makes no representations or warranties of any kind to you relating to the Services, which are provided “As Is” and “As Available.”

To help ensure a safe and productive environment, all Authorized Users must comply with our Acceptable Use Policy and any applicable policies established by Customer.

These User Terms remain effective until the Customer’s subscription expires or your access is terminated by the Customer or us. We may directly intervene or disable your access if we believe there is a risk of harm to the Services or other users.

In no event will you or Milesoft have any liability to the other for any lost profits or revenues or for any indirect, special, incidental, consequential, cover or punitive damages, however caused.

Unless you are also a Customer, you will have no financial liability to us for a breach of these User Terms. These disclaimers do not apply to the extent prohibited by law.

• Notices: All notices under these User Terms will be provided via email. Notices to Milesoft should be sent to legal@milesoft.io.
• Waiver: No failure or delay in exercising any right will constitute a waiver of that right.
• Severability: These terms will be enforced to the fullest extent permitted by law. If any provision is held contrary to law, the remaining provisions remain in effect.
• Assignment: You may not assign your rights without our consent. We may assign these terms in connection with a merger or sale of assets.
• Governing Law: These terms are governed by the same laws applicable to the Contract between Milesoft and the Customer.
• Entire Agreement: These terms constitute the entire agreement between you and us, superseding all prior agreements.
